1. Introduction 1. Introducción

These Terms and Conditions (“Terms”) govern your access to and use of the Hormonia website, tools and related services (collectively, the “Services”). The Services are operated by M&D Integrations, Inc. (“M&D Integrations,” “we,” “us,” or “our”).

By accessing or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

2. Non-clinical and informational nature of the Services 2. Naturaleza no clínica e informativa de los Servicios

Hormonia is an informational support tool designed to help individuals organize and document certain limited health-related information for their own use in connection with healthcare encounters, including in-person and telehealth visits with independent health care professionals.

The Services do not provide medical advice, diagnosis, treatment, prescriptions or emergency services. M&D Integrations is not a medical group, hospital, clinic, pharmacy or health care provider, and does not practice medicine, telemedicine or any clinical profession.

Any medical or telehealth services you may obtain are provided exclusively by independent health care professionals or organizations that are not employed by or controlled by M&D Integrations. All decisions regarding your medical care must be made directly between you and your health care providers.

Hormonia es una herramienta de apoyo informativo diseñada para ayudar a las personas a organizar y documentar cierta información limitada relacionada con la salud para su propio uso en las interacciones con el sistema sanitario, incluidas consultas presenciales y de telemedicina con profesionales de la salud independientes.

To use certain features of the Services, you may be required to create an account and provide certain information. You represent and warrant that:

You are at least 18 years of age, or the age of majority in your jurisdiction;
Any information you provide to us is accurate, complete and current; and you will maintain and promptly update such information;
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

The Services are not suitable for emergency or urgent medical situations. If you are experiencing a medical emergency, call 911 or go immediately to the nearest emergency room. Do not use the Services to seek emergency or urgent care.

You may use the Services solely for your own personal, non-commercial use and only in accordance with these Terms and applicable law. You may not use the Services on behalf of any other person unless you have full legal authority to do so, such as a parent or legal guardian acting for a minor.

Attempt to gain unauthorized access to any systems or networks connected to the Services;
Interfere with or disrupt the operation of the Services or the servers or networks used to make the Services available;
Use any automated means, such as bots or scripts, to access or use the Services;
Reverse engineer, decompile, disassemble or attempt to derive the source code of any software used in connection with the Services; or
Use the Services in any manner that could damage, disable, overburden or impair the Services or interfere with others’ use.

Aceptas no realizar ninguna de las siguientes acciones:

You may input, upload, store or otherwise provide information, data, notes or other materials (“User Content”) through the Services. You retain ownership of your User Content.

By providing User Content, you grant M&D Integrations a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, modify, distribute, display and perform the User Content as reasonably necessary to operate, maintain and improve the Services and as otherwise described in the Privacy Policy.

You represent and warrant that you have all rights necessary to provide the User Content and to grant the foregoing license, and that the User Content does not violate any third-party rights or any applicable law.

Puedes introducir, cargar, almacenar o proporcionar de otro modo información, datos, notas u otros materiales (“Contenido del usuario”) a través de los Servicios. Conservas la propiedad sobre tu Contenido del usuario.

Your use of the Services is subject to the Hormonia Privacy Policy, which describes how we collect, use and protect your information. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

We implement commercially reasonable administrative, technical and physical safeguards designed to protect the confidentiality, integrity and availability of information processed through the Services. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

If you choose to use information generated or organized by the Services in connection with telehealth or telemedicine visits provided by independent health care professionals, you should be aware of the specific risks associated with telehealth. These risks may include, but are not limited to:

Delays or disruptions in care due to technical failures, poor Internet connections or other technology issues;
Limitations on the provider’s ability to perform physical examinations or assessments;
Potential security or privacy vulnerabilities in the transmission of electronic information; and
In rare cases, incomplete or inaccurate transmission of information that could affect clinical decision-making.

By choosing to use telehealth services, you acknowledge and accept these risks. Telehealth services are provided by independent health care professionals or organizations, not by M&D Integrations, and are governed by their own terms, privacy notices and consent forms.

Si decides utilizar información generada u organizada por los Servicios en el contexto de consultas de telemedicina prestadas por profesionales sanitarios independientes, debes conocer los riesgos específicos asociados a la telemedicina. Estos riesgos pueden incluir, entre otros:

Retrasos o interrupciones en la atención debidos a fallos técnicos, mala conexión a Internet u otros problemas tecnológicos;

The Services and any content available through the Services, including educational materials, templates and exported documents, are for informational purposes only and are not intended to be and must not be taken as medical advice, diagnosis or treatment recommendations.

Use of the Services does not create a provider–patient relationship between you and M&D Integrations or any of its employees, contractors or affiliates. Any provider–patient relationship is solely between you and the independent health care professional(s) from whom you receive care.

All content, features and functionality of the Services, including text, graphics, logos, icons, images, software and the compilation thereof, are the exclusive property of M&D Integrations or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, create derivative works of, publicly display or otherwise exploit any of the content, in whole or in part, except as expressly authorized in these Terms or by M&D Integrations in writing.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement or availability.

To the maximum extent permitted by applicable law, M&D Integrations and its officers, directors, employees, contractors, agents and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to your use of or inability to use the Services, even if advised of the possibility of such damages.

To the extent any liability is found, in no event shall the total liability of M&D Integrations to you for all claims arising out of or related to your use of the Services exceed one hundred U.S. dollars (US $100.00).

Your use of and access to the Services;
Your violation of any term of these Terms; or
Your violation of any third-party right, including any privacy or intellectual property right.

We may suspend or terminate your access to the Services at any time, with or without cause or notice, and without liability to you. Upon termination, your right to use the Services will immediately cease.

Any dispute arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby consent to the jurisdiction of such courts.

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and M&D Integrations regarding your use of the Services and supersede any prior agreements or understandings with respect to such subject matter.
